Terms of Service & Client Authorization Agreement
TERMS OF SERVICE
BINDING AGREEMENT
1. SERVICES PROVIDED
DCF Electronic Inc. provides remanufacturing and repair services for industrial refrigeration and climate control controllers:
- Carrier Controllers: ComfortPro APU systems, Microlink series, APX X4, and Vector X2 Controller and HMI Repair
- Thermo King Controller Repair: SR-2, SR-3, SR-4, & HMI, TriPac APU systems, and Evolution HMI
Services provided exclusively for legitimate repair purposes to professional technicians, fleet operators, and equipment owners.
2. EQUIPMENT HOUR DISCLOSURE - FEDERAL LAW REQUIREMENT
Federal law prohibits misrepresenting equipment operational hours. Controllers and engines track different hours:
CRITICAL LEGAL DISTINCTION
Controller Hours = Hours the controller component has operated (resets to 0 when replaced)
Equipment/Engine Hours = Total cumulative operational hours (NEVER resets)
Example:
- Engine operated: 5,000 hours with original controller
- New controller installed: starts at 0 hours
- New controller operates: 1,000 hours
- Controller display: 1,000 hours
- ACTUAL EQUIPMENT HOURS: 6,000 hours ✓
When Selling Equipment - MANDATORY DISCLOSURE
LEGAL: "Total equipment hours: 6,000 (controller replaced at 5,000 hours; current controller 1,000 hours)"
MAY VIOLATE FEDERAL LAW (49 U.S.C. § 32703): Stating only controller hours without disclosing the replacement
Such misrepresentation may violate federal law (49 U.S.C. § 32703) and carry civil and/or criminal penalties.
Client Responsibility:
- Document equipment hours BEFORE controller installation
- Maintain Equipment Hour Tracking Record (provided with service)
- Calculate total hours: Pre-replacement + Current controller hours
- Disclose total equipment hours when selling/leasing equipment
- Retain documentation permanently with equipment records
3. REPAIR PROCEDURES - DATA LOSS NOTICE
Repairs may require EEPROM replacement, firmware updates, or component replacement causing loss of stored data including operational hours, fault codes, configuration settings, and historical logs. This is standard industry practice necessary to restore functionality.
Our Process:
- Document original hour meter reading with photos before repair
- Attempt data preservation when technically feasible
- Obtain written authorization if data loss is unavoidable
- Provide certificate documenting original hours
- Include Equipment Hour Tracking Record with completed repair
Client Responsibility:
- Maintain external equipment service records
- Continue maintenance scheduling based on total equipment hours (original + new)
- Not misrepresent equipment as having lower operational history
Preventive Maintenance:
Repairs may include preventive maintenance (capacitor replacement, connector cleaning, seal replacement) to extend controller life. These improvements do not guarantee against future component aging or failure.
Evaluation Fee & Estimates:
Each unit received undergoes a component-level diagnostic evaluation. A $75 evaluation fee applies, covering the technician's diagnostic time and the cost of return shipping, which DCF absorbs. DCF contacts the Client with a repair estimate before performing any work. The $75 fee is fully waived when the Client approves and DCF completes the repair; it applies only if the Client declines the estimate, in which case the unit is returned or, at the Client's election, DCF will responsibly recycle it and waive the fee.
Multi-Temperature to Single-Temperature Conversion:
A Multi-Temp to Single-Temp conversion returns the controller to its factory-default configuration, which as an unavoidable technical result resets the controller's hour counter to zero (0) and clears its stored logs. This reset is a standard, necessary consequence of the conversion and is not performed to alter or conceal equipment history. Before conversion, DCF records and photographs the controller's original hours, and the Client must expressly authorize the conversion (including the reset) before work begins. The Client certifies that it will continue to track and disclose the TOTAL equipment/engine hours (which never reset) and will not represent the equipment as having lower operational history because of the reset. The Client's obligations under Section 2 (Equipment Hour Disclosure) and Section 7 (Prohibited Uses) apply fully to converted controllers.
Payment Terms:
Payment is due when the repair is completed, before the unit is returned. DCF issues an invoice upon completion and ships the repaired unit after payment is received, in accordance with the return-shipping and storage terms in Section 5. Accepted payment methods: Zelle, PayPal, credit/debit card, ACH/bank transfer, and business check (checks must clear before the unit ships). All prices are quoted and payable in U.S. dollars.
Cancellation:
Before the equipment is received by DCF, an order may be cancelled at no charge (unshipped orders simply expire at the end of their 30-day validity window). Once the equipment has been received, declining the repair estimate is governed by the Evaluation Fee terms above. If the Client cancels after approving an estimate, the seventy-five U.S. dollar ($75) evaluation fee applies and the unit is returned at the Client's expense.
4. LIMITED WARRANTY — 1 YEAR ON REPAIRED COMPONENTS; 15 DAYS ON OTHER ISSUES
COVERED:
- ONLY the specific components/circuits repaired or replaced by DCF Electronic Inc.
- Workmanship defects strictly related to the specific repair performed
- Replacement parts installed during this specific service event
NOT COVERED - COMPLETE WAIVER OF LIABILITY:
- ANY components not specifically repaired/replaced during this service
- Shipping damage in transit (Client must insure shipments)
- Cargo damage, spoilage, or refrigeration losses
- Equipment downtime or business interruption
- Installation errors, misuse, or modifications after repair
- Controller issues unrelated to components we repaired
- Consequential, incidental, or punitive damages
- Normal wear, corrosion, environmental damage
- Compatibility issues with other equipment
Additional 15-Day Coverage (Other Issues)
In addition to the 1-year warranty on the specific components DCF repaired or replaced, DCF provides a 15-day limited warranty covering any other functional problem with the serviced unit. Any such issue must be reported to DCF within 15 calendar days after the returned unit is delivered. This 15-day coverage is separate from and does not extend the 1-year component warranty and does not cover the items listed under "NOT COVERED" above (including shipping or transit damage, cargo losses, misuse, or consequential damages).
Warranty Limitation:
Warranty obligation limited exclusively to repair or replacement of the specific defective components we serviced, plus the 15-day coverage described above. Maximum liability shall not exceed amount paid for the specific service. Except for that 15-day coverage, the rest of the unit is not covered.
How to Make a Warranty Claim:
To make a warranty claim, the Client must contact DCF in writing (support@dcfelectronic.com) within the applicable warranty period and within a reasonable time after discovering the issue, referencing the original service and describing the fault. DCF will issue a return authorization; the Client ships the unit to DCF at the Client's expense. If the fault is covered, DCF will, at its option, repair or replace the covered defect at no charge and return the unit under its standard return-shipping policy. Issues found to be outside warranty coverage (including new or unrelated faults, misuse, or transit damage) are handled as a new repair, subject to the evaluation fee and an estimate.
5. SHIPPING & TRANSIT LIABILITY (INBOUND & RETURN)
DCF ELECTRONIC INC. EXPRESSLY DISCLAIMS ALL LIABILITY FOR:
- Damage to controllers during shipping or transit
- Shipping delays or carrier failures
- Cargo spoilage, temperature excursions, or refrigeration losses
- Perishable goods damage due to controller failure or repair delay
- Equipment operational losses or downtime
- Business interruption or lost profits
- Consequential damages of any kind
Client Responsibility:
Client must maintain adequate insurance for shipped equipment, cargo, business interruption, and refrigeration failures. DCF Electronic Inc. provides controller repair services only and assumes no liability for Client's cargo, operations, or consequential losses.
No Liability for Cargo or Transported Goods
These controllers operate equipment that transports goods. DCF is not responsible or liable for any loss, spoilage, temperature excursion, or damage to cargo, freight, produce, or other transported goods arising from any failure, malfunction, or defect of a repaired controller, whether occurring before, during, or after service. The Client is solely responsible for monitoring its equipment and for maintaining adequate cargo, business-interruption, and refrigeration insurance.
Inbound Shipment (Equipment Received)
The Client ships the equipment to DCF at the Client's own risk and expense, and is responsible for adequately packaging it and for obtaining inbound shipping insurance if desired. DCF records the opening and inspection of each incoming package on video to document its as-received condition. DCF is not responsible for any damage, loss, or poor condition existing when the equipment arrives, which is attributable to the Client's packaging or to the carrier. Where the equipment arrives with damage not previously declared by the Client, DCF will send the Client the intake video as evidence of the as-received condition; any claim for such damage must be filed by the Client directly with the carrier.
Order Validity and Shipment Tracking
Each submitted repair order and its quoted pricing remain valid for thirty (30) calendar days from the date of the order confirmation. If DCF has not received the Client's equipment within that period, the order expires automatically and a new request at DCF's then-current published rates will be required. After shipping, the Client must provide DCF with the carrier's tracking number (by replying to the order confirmation email or writing to support@dcfelectronic.com) so the shipment can be linked to its order reference and received properly; packages that cannot be matched to an active order may experience processing delays.
Return Shipment — Mail-In Company, Transfer of Risk and End of Responsibility
DCF Electronic Inc. operates exclusively by mail/courier ("mail-in") and does not perform in-person delivery or local pickup. DCF pays the cost of standard ground return shipping (USPS/UPS/FedEx Ground) for the repaired unit and makes delivery by depositing the package directly at the carrier's offices. At that time, DCF provides the Client with (i) photographs of the unit and its packaging taken at the moment of shipment and (ii) the carrier's receipt showing the tracking number, issued at the carrier's offices. Deposit of the package at the carrier's offices (FOB carrier's offices), together with that documentation, constitutes full performance of DCF's shipping obligations; at that point title and risk of loss pass to the Client and all DCF responsibility for the unit ends. Payment of standard return freight covers cost only and does not make DCF the insurer of, or responsible for, the shipment in transit. DCF is not liable for any loss, theft, damage, delay, or destruction occurring after deposit at the carrier's offices; the Client must file any claim directly with the carrier, and the photographs and tracking receipt shall serve as evidence of the unit's good condition and dispatch. Overnight/expedited service and shipment insurance (declared value) are available only upon the Client's prior written request and at the Client's expense; absent Client-purchased insurance, the unit is returned with only the carrier's default liability.
Inspection and Claim Period
The Client must inspect the unit upon receipt and notify DCF in writing of any transit damage within three (3) business days of delivery, attaching photographs and retaining the original packaging. Absent such notice within that period, the unit is deemed received in good condition.
Unclaimed Units, Storage & Abandonment
When the repair is complete (or an estimate is declined), DCF notifies the Client in writing that the unit is ready. The Client must arrange return — accept the return shipment and pay any amount due — within thirty (30) days of that notice; storage during this period is free. After thirty (30) days, DCF may charge a reasonable storage fee of twenty-five U.S. dollars ($25) per month (prorated), payable before the unit is released. If the Client does not respond, pay, or arrange return within ninety (90) days of DCF's written notice, the unit is deemed abandoned, and DCF may recycle, dispose of, or sell it to recover unpaid repair and storage charges, in accordance with applicable Florida law governing abandoned personal property. DCF will send at least two written notices before treating a unit as abandoned, and total storage charges will not exceed the amount the Client owes for the service.
6. AUTHORIZED USES
✓ LEGAL Services:
- Repair malfunctioning controllers with proper documentation
- Install new/remanufactured controllers at 0 hours with equipment hour tracking
- Replace controllers and program to actual equipment hours with documentation
- Remanufacture for resale with full disclosure to purchasers
7. PROHIBITED USES
✗ STRICTLY PROHIBITED:
Client shall NOT use services to:
- Misrepresent equipment age, usage, or operational history to purchasers, lessees, or insurers
- Conceal controller replacement when selling equipment
- Violate federal equipment tampering laws (49 U.S.C. § 32703) or state fraud statutes
- Submit stolen, unlawfully obtained, or disputed property
- Commit insurance fraud or evade regulatory requirements (EPA, DOT, CARB)
- Falsify equipment records or circumvent warranty obligations
8. CLIENT ELIGIBILITY
By requesting services, Client certifies:
- Legal ownership of equipment OR authorized agency with full authority
- Services requested solely for legitimate business purposes
- Professional competence and required licenses (if acting as service provider)
- All representations regarding ownership, usage history, and intent are truthful and accurate
9. COMPANY RIGHTS
DCF Electronic Inc. reserves unconditional right to:
- Refuse service for any reason including suspicion of fraudulent intent
- Require proof of ownership, business licenses, or identification
- Maintain detailed records of all services, equipment data, and client certifications
- Report suspected criminal activity to law enforcement
- Cooperate with regulatory investigations and provide records under legal process
- Terminate service immediately for terms violations
*Records retained minimum 7 years and may be disclosed to authorities.*
10. CLIENT CERTIFICATION UNDER PENALTY OF PERJURY
By accepting these terms, Client certifies under penalty of perjury under the laws of the United States and State of Florida:
- I am the legal owner OR authorized agent with full authority
- I will use services solely for legitimate business purposes
- I will NOT misrepresent equipment hours, condition, or history to any party
- I will disclose total equipment hours (not just controller hours) when reselling equipment
- If purchasing new controller: I will document equipment hours before installation and maintain Equipment Hour Tracking Record
- If repair causes data loss: I have been informed, authorize repair, and will maintain accurate equipment hour records
- I understand warranty limitations and waive all claims for shipping/cargo damage
- I understand violations may result in criminal prosecution, civil liability, and service denial
- All information provided is true, accurate, and complete
Electronic signature recorded with timestamp and IP address for legal compliance.
11. INDEMNIFICATION
Client agrees to indemnify, defend, and hold harmless DCF Electronic Inc., its officers, directors, employees, and affiliates from ALL claims, liabilities, damages, costs, and attorneys' fees arising from:
- Fraudulent misrepresentation of equipment hours or condition
- Equipment fraud, consumer protection violations, or regulatory violations
- Failure to disclose controller replacement or equipment history
- Ownership disputes or stolen property claims
- Insurance fraud or false statements
- Shipping damage claims or cargo loss claims
- Refrigeration failure or temperature excursion claims
- Installation errors or equipment compatibility issues
- Criminal/civil investigations related to Client conduct
Indemnification survives termination indefinitely.
12. LIMITATION OF LIABILITY - MAXIMUM PROTECTION
MAXIMUM LIABILITY: Amount paid by Client for the specific service, not to exceed $500 in any event.
DCF ELECTRONIC INC. SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR:
- Client's fraudulent, deceptive, or unlawful use of services
- Client's failure to document or disclose equipment hours
- Third-party claims alleging fraud, tampering, or misrepresentation
- Data loss resulting from necessary repairs
- Shipping damage, cargo spoilage, or refrigeration losses
- Equipment downtime, business interruption, or lost profits
- Consequential, incidental, special, or punitive damages
- Claims arising more than 1 year after service completion
Client acknowledges this limitation is essential and DCF Electronic Inc. would not provide services without these protections.
13. LEGAL COMPLIANCE FRAMEWORK
These terms ensure compliance with:
- Federal fraud statutes (18 U.S.C. § 1001, § 1341, § 1343)
- Federal equipment tampering laws (49 U.S.C. § 32703 et seq.)
- Florida Deceptive and Unfair Trade Practices Act (Fla. Stat. § 501.201 et seq.)
- State equipment fraud and consumer protection laws
- EPA refrigerant regulations (40 C.F.R. Part 82)
- Commercial equipment disclosure requirements
Federal and state authorities actively investigate equipment fraud. DCF Electronic Inc. will cooperate fully with law enforcement and regulatory authorities.

Equipment Hour Tracking Record
Required for all controller replacements; retain permanently.
EEPROM Replacement Authorization
Required for repairs involving data loss; retain 7 years.
Controller Replacement Disclosure
Required for technician installations; retain 7 years.
15. GENERAL PROVISIONS
- Governing Law: State of Florida; exclusive jurisdiction in Miami-Dade County courts
- Amendments: DCF Electronic Inc. may modify terms at any time by posting updates on website; continued use constitutes acceptance
- Severability: Invalid provisions do not affect remaining terms
- Attorney's Fees: Prevailing party in disputes recovers reasonable fees and costs
- Assignment: Client cannot assign rights; DCF Electronic Inc. may assign without restriction
- Entire Agreement: Supersedes all prior agreements, communications, or understandings
- Waiver: Failure to enforce any provision does not constitute waiver
- Record Retention: All service records, client certifications, and hour documentation retained minimum 7 years
ACCEPTANCE
Submitting equipment, requesting services, or checking acceptance box constitutes your electronic signature and agreement to all terms.
